These Terms of Service (the "Terms") govern your use of the LiverCured website, mobile and web applications, and related services (together, the "Services"). By creating an account or using the Services, you agree to these Terms, to our Privacy Policy & HIPAA Notice of Privacy Practices, and to the use of HIPAA-compliant artificial intelligence to help you and your care team work with your health information, as described in Section 8. Please read them carefully. If you do not agree, do not use the Services.

1. Who we are

LiverCured is a liver-focused specialty clinic and a brand of InstaCured. The Services are made available to you through two affiliated entities:

  • InstaCured Medical Group Inc., a California professional corporation (the "Medical Group"). The Medical Group, through its affiliated physicians and hepatologists who are licensed to practice medicine in the states where they treat patients (the "Providers"), is solely responsible for the practice of medicine and the delivery of clinical care to you.
  • InstaCured Corp, the technology company that hosts and manages the LiverCured platform, website, and applications (the "Company," "we," "us," or "our"). InstaCured Corp provides the software and administrative platform only. It does not practice medicine and does not provide medical advice, opinions, care, diagnosis, or treatment.

This structure follows the standard model for telehealth in California: clinical care is provided by the Medical Group, while the technology platform is operated by the Company. Any physician and patient relationship that is created exists solely between you and your Provider and the Medical Group, and does not involve InstaCured Corp.

2. Acceptance & eligibility

By accessing or using the Services, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction), are accessing the Services from within the United States, and have the legal capacity to enter into these Terms. If you use the Services on behalf of another person as a parent, guardian, or authorized representative, you represent that you have the authority to do so and to consent to these Terms on their behalf.

3. Accounts & information

To use most features you must create an account and provide accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activity under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate accounts that contain false information or that are used in violation of these Terms.

4. The Services

The Services allow you to: (a) upload, store, and organize your health information, including laboratory results, imaging reports, clinical documents, and notes, into a timeline; (b) view trends, reference ranges, and plain-language explanations of that information; (c) receive general educational information about liver health; and (d) schedule and attend telehealth visits (by video, and where offered, in person) with Providers of the Medical Group. The specific features available to you may change over time, and availability of Providers varies by state.

5. Not for emergencies

The Services are not for medical emergencies. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not use the Services, the chat assistant, or messaging for urgent or emergency medical needs.

6. Medical disclaimer

Information provided through the website, educational content, lab explanations, and the LiverMD AI assistant is for general informational and educational purposes only and is not medical advice. It is not a substitute for professional medical advice, diagnosis, or treatment from a qualified clinician who has evaluated you. Using the website or the AI assistant alone does not create a physician and patient relationship. That relationship is formed only when you complete an intake and are accepted as a patient by a Provider of the Medical Group through a telehealth or in-person visit. Always consult your own physician about your individual circumstances, and never disregard or delay seeking professional advice because of something you read or received through the Services.

7. Telehealth & informed consent

When you book a visit, you may receive care via telehealth, the delivery of health care using interactive audio, video, or other electronic communications. You acknowledge and agree that:

  • Telehealth has potential benefits (convenience, access to specialists) and limitations (a Provider cannot physically examine you, and technical issues may interrupt a visit).
  • Your Provider will determine whether your condition is appropriate for telehealth and may decide that an in-person evaluation, laboratory testing, imaging, or referral is necessary.
  • The laws of the state in which you are physically located at the time of a visit apply, and Providers can only treat patients in states where they are licensed.
  • You consent to receive care via telehealth, and you may withdraw that consent at any time, which may end your ability to use telehealth features.

8. Consent to the use of artificial intelligence

This section is important. By using the Services, you expressly consent to the use of HIPAA-compliant artificial intelligence ("AI") tools to assist you and your care team across the Services.

To help organize and make sense of your health information, LiverCured uses AI and automated technologies operated under appropriate privacy and security safeguards (including, where applicable, HIPAA Business Associate Agreements with our technology vendors). You understand and agree that AI may be used to assist with, among other things:

  • Your chart and timeline: reading, extracting, categorizing, dating, and summarizing your labs, imaging, documents, and notes into an organized timeline;
  • Documents and data you upload: interpreting photos, PDFs, and files you provide and turning them into structured, searchable records;
  • Lab and trend explanations: generating plain-language explanations, trends, and reference-range context for your results;
  • Your visits: supporting both video and in-person visits, including scheduling, intake, note-taking, transcription or summarization, and surfacing relevant information from your record to your Provider; and
  • The LiverMD AI assistant: answering general questions about liver health.

You consent to the use of these AI tools to assist both you and your Providers within the Services. You understand that:

  • AI is a support tool, not a clinician. It does not practice medicine, does not replace the independent professional judgment of your Provider, and its outputs may be incomplete or inaccurate.
  • Your Providers remain responsible for all clinical decisions, and any AI-assisted summaries or outputs are reviewed in the context of your overall care.
  • AI-generated information presented to you (including in the LiverMD AI assistant and lab explanations) is educational and is not a diagnosis or medical advice.
  • We handle protected health information used by AI in accordance with our Privacy Policy & HIPAA Notice. Where we use information to improve our tools, we use aggregated or de-identified data and take reasonable steps not to re-identify you except as permitted by law.

If you do not consent to the use of AI as described, please do not use the Services. You may contact us to ask questions about how AI is used in your care at any time.

9. Your records & uploads

You are responsible for the accuracy and legality of the information and documents you upload, and you represent that you have the right to share them. By uploading content, you grant the Company and the Medical Group a limited license to host, process, display, and analyze that content (including with the AI tools described in Section 8) solely to provide and improve the Services and your care, consistent with our Privacy Policy and applicable law. The Services are a convenience tool to help organize your information and are not the legal medical record system of any other provider. Please keep your own copies of important documents.

10. HIPAA & privacy

Once you create an account and become a patient, health information you provide is protected health information ("PHI") handled by the Medical Group as a HIPAA covered entity, and by the Company acting as its business associate. Our collection and use of your information, including under HIPAA, is described in our Privacy Policy & HIPAA Notice of Privacy Practices, which is incorporated into these Terms by reference.

11. Communications consent

By providing your phone number and email, you consent to receive account, appointment, clinical, and service-related communications from us, which may include SMS or text messages and emails. Message and data rates may apply. You can opt out of non-essential messages by replying STOP to texts or using the unsubscribe link in emails. Certain transactional and care-related messages are necessary to provide the Services.

12. Payments

Some Services require payment. Prices are shown before you complete a purchase. Payments are processed by third-party payment processors, and we do not store full payment card numbers. Unless required by law or expressly stated, fees for completed visits are non-refundable. You are responsible for any applicable taxes. If a Service is offered on a subscription or recurring basis, the applicable renewal, cancellation, and refund terms will be disclosed at sign-up.

13. Acceptable use

You agree not to: misuse the Services; provide false information; access another person's account; attempt to reverse engineer, scrape, or disrupt the Services; upload unlawful, infringing, or malicious content; or use the Services in a way that violates applicable law or these Terms. We may remove content or suspend access for violations.

14. Intellectual property

The Services, including all software, design, text, graphics, logos, and the "LiverCured," "InstaCured," and "LiverMD" marks, are owned by the Company and its licensors and are protected by intellectual-property laws. You receive a limited, revocable, non-transferable license to use the Services for your personal, non-commercial use. You retain ownership of the health information and documents you upload.

15. Third-party services

The Services integrate third-party technologies, including the LiverMD AI assistant and AI and cloud vendors. Your use of certain third-party features may be subject to their terms. We are not responsible for third-party websites or services that we do not control, although we require appropriate safeguards (including HIPAA Business Associate Agreements where PHI is involved).

16. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES OR AI OUTPUTS WILL BE ACCURATE, COMPLETE, UNINTERRUPTED, OR ERROR-FREE. The Company does not warrant any medical or health outcome.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INSTACURED CORP, INSTACURED MEDICAL GROUP INC., OR THEIR AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES. THE COMPANY'S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Nothing in these Terms limits liability that cannot be limited under applicable law, including for death or personal injury caused by negligence or for fraud. This section does not limit any claims relating to the actual provision of medical care, which are governed by applicable law.

18. Indemnification

You agree to indemnify and hold harmless the Company, the Medical Group, and their affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or rights of a third party.

19. Governing law, arbitration & class-action waiver

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Except where prohibited, any dispute relating to these Terms or the Services will be resolved by binding, individual arbitration administered under the rules of a recognized arbitration provider, seated in Fresno County, California. You and we waive any right to a jury trial and to participate in a class, collective, or representative action.

Opt-out: You may opt out of arbitration within 30 days of first accepting these Terms by sending written notice to InstaCured Medical Group Inc., 402 West Broadway #400, San Diego, CA 92101. This arbitration provision does not apply to claims that, by law, may not be subject to mandatory arbitration, including certain claims arising from the provision of medical care.

20. Changes & termination

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use after changes become effective constitutes acceptance. We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination (including Sections 14 through 19) will survive.
